Program Fees.

Payment Agreement.

By engaging with our Service, you acknowledge your commitment to fulfill payment for any services or programs you enroll in, as may be detailed, for instance, in an Enrollment Agreement. Your ongoing use of our Service reaffirms your agreement to meet these financial obligations, as specified in any related contracts, documents, or notifications. Be aware that payment methods, availability, and policies concerning refunds or adjustments may differ based on your location or regulatory requirements and are subject to change. Should any issues arise regarding your payments to Tesla MRI, you agree to address these concerns promptly through the designated dispute resolution channels.


Your Account.

You commit to supplying accurate, truthful, and up-to-date information for your account and to promptly update this information should it change. It's important to understand that furnishing false information breaches not only these terms but also any other agreements you might have with Tesla MRI.

Our Service encompasses a broad range of materials, including but not limited to, educational curriculum, teaching methodologies, informational data, designs, texts, graphics, images, videos, logos, software, audio files, computer code, and other creative works (“Content”).


We may utilize artificial intelligence software to develop certain aspects of our tools and educational offerings, ensuring each is rigorously tested and/or verified by human oversight. However, the core of Tesla MRI’s curriculum is crafted solely by human expertise.


Ownership of all Content, including how it's selected, organized, compiled, and arranged, resides with Tesla MRI or its licensors, safeguarded by copyright, trademark, and other applicable laws.


No implicit licenses are conferred through these Terms.


License to You.

Under these Terms, we grant you the right to access and utilize the Service and its Content strictly for your personal and non-commercial use, at our sole discretion. Any other form of use is directly prohibited.

Ownership of External Content.

By using the Service, you acknowledge and agree that you will not gain any form of ownership, including any intellectual property rights, in content that is made available through the Service by other users or licensors of Tesla MRI.


The Service hosts a variety of content from different sources, including but not limited to user-generated content and materials provided by Tesla MRI's licensors. Content Posting Rights.

Consequences for Terms Violation.

Tesla MRI reserves the right to suspend your access, terminate your account, withdraw your participation, and block your future access to the Service for any reason deemed appropriate, in accordance with these Terms and any other agreements in effect between you and us.


Should you be withdrawn from the Service, our tuition policy will determine any financial obligations based on the timing of your withdrawal and the extent of services utilized. You are required to settle any charges for services rendered, as per our agreements, such as the Enrollment Agreement. Be aware, certain circumstances of withdrawal may render you ineligible for future re-admission.


Tesla MRI retains the authority to remove any User Content at our discretion, especially content that breaches these Terms, our Code of Conduct, or applicable laws; content that is harmful, disruptive, offensive, or illegal; or content that infringes on the rights, safety, or well-being of others within the Tesla MRI community. While we are not obligated to monitor User Content, we will act upon any violations brought to our notice, which may include further investigation and possible removal from our community for breaching our standards and policies.


Disclaimer of Warranties.

You fully acknowledge and accept that:


(A) Your engagement with the Service is entirely at your own risk. The Service is made available "as is" and "as available." To the fullest extent allowed by law, Tesla Institute of MRI Technology Inc., along with its affiliates, officers, directors, managers, owners, members, employees, instructors, agents, subsidiaries, service providers, partners, and licensors (collectively, the "Released Parties"), explicitly disclaims all warranties and conditions, be they express or implied. This includes warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except where such disclaimers are legally impermissible.

(iii) The costs incurred while procuring substitute goods and services resulting from any transactions made through the Service;

(v) The actions or statements of any third party on the Service;

Indemnification.

By using the Services, you commit to defend, indemnify, and absolve the Released Parties of any responsibility for all claims, liabilities, actions, costs, or demands, including, but not limited to, reasonable legal fees that arise from or are related to your use of the Services. This obligation to protect and hold harmless the Released Parties remains in effect even after you have ceased using the Services.


Arbitration.

To resolve any disputes stemming from these Terms, the use of the Service, any agreements you hold with us, your Tesla MRI tuition, or payments to Tesla MRI, arbitration will serve as the sole method for initiating adversarial proceedings. This excludes any actions for injunctions, restraining orders, other equitable remedies, or proceedings initiated in small claims court. For such arbitration, we utilize the services of National Arbitration and Mediation (NAM), adhering to its Comprehensive Dispute Resolution Rules and Procedures, which you can review at https://www.namadr.com/resources/rules-fees-forms/. In the event that NAM is unavailable and no alternative can be mutually agreed upon by you and Tesla MRI, either party may petition a court to appoint a substitute arbitrator. This arbitration agreement prioritizes these specific arbitration rules in the case of any procedural disputes. Any arbitration award may be confirmed and enforced by any court possessing jurisdiction over the matter. Governed by the Federal Arbitration Act (FAA), this agreement stipulates that all arbitrations must be presided over by a single arbitrator. For claims equal to or less than $25,000, the arbitration can proceed either entirely on document submissions or via a non-appearance-based hearing, such as telephone or video conference, at your discretion.


Class Waiver and Waiver of Jury Trial.

Both you and Tesla MRI agree that any claims between us must be brought on an individual basis only. Neither you nor Tesla MRI can participate as a plaintiff or class member in any class or representative action or proceeding. Claims involving more than one person cannot be combined in the same arbitration unless they stem from the same transaction. By this agreement, both you and Tesla MRI relinquish any right to a jury trial in any legal proceedings arising from this agreement, your involvement with Tesla MRI, or any payments made to or by Tesla MRI.


Applicable Laws and Jurisdiction.

You acknowledge that any disputes, claims, or causes of action related to or partly arising from your use of the Website will be settled on an individual basis, excluding any class action suits, and will be exclusively subject to the jurisdiction of a competent court located in Delaware. This stipulation does not override any rights you may possess to lodge a complaint with your state’s education regulatory agency, based on where you reside.


Furthermore, the interpretation, validity, construction, and enforceability of these Terms, along with your rights and obligations and those of Tesla MRI, will be governed and construed in accordance with Delaware laws. This is done without applying any principles of conflicts of law that might require the adherence to the laws of any other jurisdiction, ensuring that Delaware law prevails.

You commit to using the Service for its intended purposes, adhering to all relevant laws concerning privacy, data protection, intellectual property, and others.

In the event that NAM is unavailable and no alternative can be mutually agreed upon by you and Tesla MRI, either party may petition a court to appoint a substitute arbitrator. Governed by the Federal Arbitration Act (FAA), this agreement stipulates that all arbitrations must be presided over by a single arbitrator. Class Waiver and Waiver of Jury Trial.

Both you and Tesla MRI agree that any claims between us must be brought on an individual basis only. Neither you nor Tesla MRI can participate as a plaintiff or class member in any class or representative action or proceeding. Claims involving more than one person cannot be combined in the same arbitration unless they stem from the same transaction. Applicable Laws and Jurisdiction.

Consequences for Terms Violation.

Tesla MRI reserves the right to suspend your access, terminate your account, withdraw your participation, and block your future access to the Service for any reason deemed appropriate, in accordance with these Terms and any other agreements in effect between you and us.


Should you be withdrawn from the Service, our tuition policy will determine any financial obligations based on the timing of your withdrawal and the extent of services utilized. You are required to settle any charges for services rendered, as per our agreements, such as the Enrollment Agreement. Be aware, certain circumstances of withdrawal may render you ineligible for future re-admission.


Tesla MRI retains the authority to remove any User Content at our discretion, especially content that breaches these Terms, our Code of Conduct, or applicable laws; content that is harmful, disruptive, offensive, or illegal; or content that infringes on the rights, safety, or well-being of others within the Tesla MRI community. While we are not obligated to monitor User Content, we will act upon any violations brought to our notice, which may include further investigation and possible removal from our community for breaching our standards and policies.


Disclaimer of Warranties.

You fully acknowledge and accept that:


(A) Your engagement with the Service is entirely at your own risk. The Service is made available "as is" and "as available." To the fullest extent allowed by law, Tesla Institute of MRI Technology Inc., along with its affiliates, officers, directors, managers, owners, members, employees, instructors, agents, subsidiaries, service providers, partners, and licensors (collectively, the "Released Parties"), explicitly disclaims all warranties and conditions, be they express or implied. Arbitration.

To resolve any disputes stemming from these Terms, the use of the Service, any agreements you hold with us, your Tesla MRI tuition, or payments to Tesla MRI, arbitration will serve as the sole method for initiating adversarial proceedings. This excludes any actions for injunctions, restraining orders, other equitable remedies, or proceedings initiated in small claims court. For such arbitration, we utilize the services of National Arbitration and Mediation (NAM), adhering to its Comprehensive Dispute Resolution Rules and Procedures, which you can review at https://www.namadr.com/resources/rules-fees-forms/. In the event that NAM is unavailable and no alternative can be mutually agreed upon by you and Tesla MRI, either party may petition a court to appoint a substitute arbitrator. This arbitration agreement prioritizes these specific arbitration rules in the case of any procedural disputes. Any arbitration award may be confirmed and enforced by any court possessing jurisdiction over the matter. Governed by the Federal Arbitration Act (FAA), this agreement stipulates that all arbitrations must be presided over by a single arbitrator. For claims equal to or less than $25,000, the arbitration can proceed either entirely on document submissions or via a non-appearance-based hearing, such as telephone or video conference, at your discretion.


Class Waiver and Waiver of Jury Trial.

Both you and Tesla MRI agree that any claims between us must be brought on an individual basis only. Neither you nor Tesla MRI can participate as a plaintiff or class member in any class or representative action or proceeding. Claims involving more than one person cannot be combined in the same arbitration unless they stem from the same transaction. By this agreement, both you and Tesla MRI relinquish any right to a jury trial in any legal proceedings arising from this agreement, your involvement with Tesla MRI, or any payments made to or by Tesla MRI.


Applicable Laws and Jurisdiction.

You acknowledge that any disputes, claims, or causes of action related to or partly arising from your use of the Website will be settled on an individual basis, excluding any class action suits, and will be exclusively subject to the jurisdiction of a competent court located in Delaware. This stipulation does not override any rights you may possess to lodge a complaint with your state’s education regulatory agency, based on where you reside.


Furthermore, the interpretation, validity, construction, and enforceability of these Terms, along with your rights and obligations and those of Tesla MRI, will be governed and construed in accordance with Delaware laws. This is done without applying any principles of conflicts of law that might require the adherence to the laws of any other jurisdiction, ensuring that Delaware law prevails.

By using our Service, you agree to follow the Terms set forth as well as our community norms and policies, which are detailed in our Student Handbook. You commit to using the Service for its intended purposes, adhering to all relevant laws concerning privacy, data protection, intellectual property, and others.


You bear full responsibility for your content and actions within the Service. We do not vouch for the truthfulness, accuracy, or reliability of content posted by users, known as User Content.
